Welcome to Ural Mining Company (UMC)! These Terms of Use describe the terms applicable to your access to and use of this Ural Mining Company Service Agreement (“Agreement”) as users of Ural Mining Company (“Ural Mining Company” or “we”) and users of the products and services offered by Ural Mining Company (“Ural Mining Company” or “us”). Agreement between the “User” or “You”) Ural Mining Company and/or the official website of Ural Mining Company (the “Site”). This Agreement sets forth the rights and responsibilities of Ural Mining Company and users. By using the services provided by Ural Mining Company and/or the website, you acknowledge that you agree to all the terms of this agreement. 1.3 You are a natural person: you are over 18 years old and have full capacity for civil conduct;
1.4 You are an entity: you are duly organized and validly existing under the laws of the jurisdiction in which your organization or company is located;
1.5 Your use of the products and services provided by Ural Mining Company complies with the applicable laws and regulations of your country/region, and your use of the products and services provided by Ural Mining Company does not violate your obligations to any third party;
1.6 You have the necessary rights to use the products and services provided by Ural Mining Company and perform your corresponding obligations. This agreement and the corresponding purchase order are valid and binding on you.
Ⅱ. Account registration and security
2.1 In providing registration data and information (“Registration ID”), you hereby agree to:
2.2 You will provide legal, true, accurate and complete registration information;
2.3 If there is any change in the registration information you provide, you will promptly notify Ural Mining Company; if the registration information you provide is illegal, untrue, inaccurate or incomplete, you shall bear the corresponding responsibilities and consequences;
2.4 For compliance purposes such as KYC (know your customer) and/or anti-money laundering, Ural Mining Company reserves the right to require you to provide Ural Mining Company with your PII (personally identifiable information) and/or financial information; you confirm that you True and accurate information will be submitted to us.
2.5 You may need to register for an Ural Mining Company ID or log in to your Ural Mining Company ID to access the services of this website. By registering for an Ural Mining Company account, you represent and warrant that you are the person legally obtaining the products or services offered by Ural Mining Company in accordance with the laws of your jurisdiction.
2.6 You are solely responsible for protecting the confidentiality of your account information, including your password. If you fail to maintain the security and confidentiality of said information, you will be solely responsible for any and all actions that occur on or against your account
However, you hereby agree that you will not share your username and/or password with any third party or allow any third party to access your account. Ural Mining Company is not responsible for any consequences and losses arising from your improper use of your account and/or password or any third party’s use of your account and/or password.
2.7 We Reserve The Right To Remove, Reclaim, Or Change A Username You Select If We Determine, In Our Sole Discretion, That Such Username Is Inappropriate, Obscene, Or Otherwise Objectionable.
Ⅲ. Product service order payment related
3.1 Before purchasing any product, you should assess whether the service plan is suitable for your financial capabilities and risk appetite. By purchasing any products and services offered by Ural Mining Company, you acknowledge that you understand and accept all risks associated with mining machines or services.
3.2 Large price fluctuations: The price of any digital asset, including Bitcoin, may fall sharply, or even drop to zero. The machine or service you buy will lose a lot of money;
3.3 Digital asset transfers may take a while to be confirmed. Although unlikely, it is true that some digital asset transactions may never be confirmed, and an unconfirmed digital asset transaction means that the transaction is not completed;
3.4 Digital asset transfer transactions are irreversible: if you send any amount of digital assets to the wrong person or digital asset wallet address, you may not be able to cancel the transaction or recover these funds;
3.5 Our website provides the option to view prices excluding VAT.
3.6 After placing an order, Ural Mining Company will send you an order confirmation.
3.7. All descriptions, photos and advertisements are used only to provide the concept of the product they describe. While we take great care in our descriptions, mistakes can occur. the image is only a reference.
3.8 Payment can be made by bank transfer or encryption. We cannot ship any products until we clear the funds. Due to the value of the equipment, we may ask to confirm your address before shipping.
3.9. While we endeavour to ensure that all prices on our website are accurate, errors may occasionally occur. If we discover that the price of an ordered product is incorrect before shipping, we will notify you as soon as possible and provide the option to reconfirm your order at the correct price or cancel it. If we are unable to contact you, we will treat the order as cancelled. If an order is cancelled under these terms and you have already paid for the product, you will receive a full refund.
3.10. We are not obligated to supply the Product even if the transaction is completed if the mispricing is obvious and can reasonably be considered mispricing.
3.11 Countries may introduce and promulgate new laws, regulations and policies that affect the use of digital assets.
3.12After placing your order, you will receive an email from us confirming that we have received your order, but please note that this does not mean your order has been approved. Contracts will link to these goods and services. If we cannot accept your purchase. If for any reason we are unable to supply you with all products, we will notify you and we will not process your purchase. If you have already paid for your product, we will issue a full refund, including any shipping costs. Set up your purchase. You can submit arrangements through this process. Each purchase is an offer by you to obtain goods (goods) or professional services (services) (collectively, Products) provided in an order subject to these Terms. 4.2 Limited License Grant to Ural Mining Company.
By posting or publishing User Content, you grant Ural Mining Company a worldwide, non-exclusive, royalty-free, fully paid right and license (with the right to sublicense) to host, store, transfer, display, perform, reproduce, modify for the purpose of formatting for display, and distribute your User Content, in whole or in part, in any media formats and through any media channels now known or hereafter developed.
4.3 Limited License Grant to Other Users.
By posting or sharing User Content with other users of the Site, you grant those users a non-exclusive license to access and use that User Content as permitted by these Terms and the functionality of the Site.
4.4 User Content Representations and Warranties.
You are solely responsible for your User Content and the consequences of posting or publishing User Content. By posting or publishing User Content, you affirm, represent, and warrant that:
a). you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize Ural Mining Company and users of the Site to use and distribute your User Content as necessary to exercise the licenses granted by you in this section, in the manner contemplated by Ural Mining Company, the Site, and these Terms;
b). your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (iii) cause Ural Mining Company to violate any law or regulation.
4.5 User Content Disclaimer.
Ural Mining Company is under no obligation to edit or control User Content that you or other users post or publish, and will not be in any way responsible or liable for User Content. Ural Mining Company may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates these Terms or is otherwise objectionable. You understand that when accessing the Site you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against Ural Mining Company with respect to User Content. We expressly disclaim any and all liability in connection with User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice. For clarity, Ural Mining Company does not permit copyright-infringing activities on the Site.
Ⅴ. PROHIBITED CONDUCT
By using the site you agree not to.
5.1 Access the Site for any illegal purpose or in violation of any local, state, national, or international law;
5.2 Conduct activities that may be harmful to others or that could damage Ural Mining Company ‘s reputation;

5.6 Perform any fraudulent activity in connection with your obtaining or accessing the Sites, including impersonating any person or entity, claiming a false affiliation, accessing any other Ural Mining Company account without permission, or falsifying your age or date of birth;
5.7 Sell or otherwise transfer the access granted under these Terms or any Materials (as defined in Section 10) or any right or ability to view, access, or use any Materials;
5.8 Bypass any security or other features of the Site designed to control the manner in which the Site is used, harvest or mine User Content from the Site, or otherwise access or access the Site in a manner inconsistent with individual human usage;
5.9 Use any robot, spambot, spider, crawler, scraper or other automated means or interface not provided by us to access the Site or to extract data;
5.10 Use, display, mirror, frame or utilize framing techniques to enclose the Site or User Content, or any portion thereof, unless and solely to the extent Ural Mining Company makes available the means for embedding any part of the Site or the User Content;‘s reputation;6.6 Perform any fraudulent activity in connection with your obtaining or accessing the Sites, including impersonating any person or entity, claiming a false affiliation, accessing any other Ural Mining Company account without permission, or falsifying your age or date of birth;
5.11 Bypass any security or other features of the Site designed to control the manner in which the Site is used, harvest or mine User Content from the Site, or otherwise access or access the Site in a manner inconsistent with individual human usage;
5.12 Use, display, mirror, frame or utilize framing techniques to enclose the Site or User Content, or any portion thereof, unless and solely to the extent Ural Mining Company makes available the means for embedding any part of the Site or the User Content;
5.13 Access, tamper with, or use non-public areas of the Site, Ural Mining Company (and any of its hosting company’s) computer systems and infrastructure, or the technical delivery systems of Asic Miner Market providers;
5.14 Access the Site in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party;
5.15 Sell or otherwise transfer the access granted under these Terms or any Materials or any right or ability to view, access, or use any Material;
5.16 Attempt to do any of the acts described in this Section 5, or assist or permit any person in engaging in any of the acts described in this Section 5.
Ⅵ. TERMINATION OF USE; DISCONTINUATION AND MODIFICATION OF THE SITE
If you violate any provision of these Terms, your permission from us to access the Site will terminate automatically. In addition, Ural Mining Company may in its sole discretion terminate your Ural Mining Company account or suspend or terminate your access to the Site at any time for any reason or no reason, with or without notice. We also reserve the right to modify or discontinue the Site or features of the Site at any time, temporarily or permanently, without notice to you. We will have no liability whatsoever on account of any change to the Site or any suspension or termination of your access to or access to the Site. Without limiting the foregoing, you understand and agree that in any termination or suspension of your account or the Site, you will not have access to any data or content posted to the Site or otherwise contained in the Site, and we will have no responsibility to provide you access to such data or content.
Ⅶ、Product warranty
We warrant that, upon delivery and within 12 months of dispatch, the item will: conform to its description; be free from material defects in design, workmanship, and materials in all materials; and be of good quality. We will only be responsible for your product failure. These conditions apply to any replacement or repair products we offer. We will, at our option, repair or replace the product, or refund the full purchase price of the defective product.
Ⅷ、Limitation of Liability
8.1 Ural Mining Company’s liability limitation for products provided by Ural Mining Company is subject to the service agreement of the product. Unless otherwise agreed, Ural Mining Company’s total responsibility to the user shall not exceed the total fees paid by the user to Ural Mining Company
8.2 Ural Mining Company shall not be liable for damages due to circumstances beyond its control (including but not limited to war (declared or undeclared), terrorist activities, acts of vandalism, blockades, fires, lightning, force majeure, national strikes, riots, riots, civil unrest, quarantine restrictions, Epidemics, earthquakes, floods, hurricanes, explosions, and regulatory and administrative actions or delays. And failures of suppliers or official regulations. In the event of such force majeure, Ural Mining Company shall take reasonable steps to minimize losses, but not under such force majeure any liability arising out of or incidental to it.
8.3 After the force majeure event is over, we will arrange a delivery date if our delivery products have an impact on you. You can cancel contracts affected by force majeure events. If you choose to cancel, you will be required to return (at our expense) any applicable product you received and we will refund the purchase price you paid, including any shipping costs.
Ⅸ.Applicable Law and Dispute Jurisdiction
9.1These Conditions of Use shall be construed and enforced in accordance with the laws of Hong Kong. (unless otherwise specified in the Terms of Service)
9.2 Any and all disputes arising out of the conditions of use shall be settled amicably by the parties. The parties agree to submit disputes that cannot be resolved amicably to arbitration. The arbitration shall be submitted to the Hong Kong International Arbitration Centre in accordance with the current UNCITRAL Arbitration Rules (“UNCITRAL Rules”), followed by the appointment of an arbitrator in accordance with the UNCITRAL Rules. Arbitration decisions and awards are final and binding on the parties. (unless otherwise specified in the Terms of Service).

XII. PROPRIETARY RIGHTS

Ⅵ. TERMINATION OF USE; DISCONTINUATION AND MODIFICATION OF THE SITE
